ScodyX Cloud Service Terms

1. Who you are contracting with

ScodyX Cloud is operated by iScholarX LLC, Robbinsville, New Jersey 08691, United States. These Service Terms apply to every order placed through the ScodyX Cloud storefront — domains, DNS, certificates, business email, hosting, compute, databases, storage, edge delivery, backup, monitoring and GPU capacity — whether you buy them on their own or as part of a ScodyX project. Our general Terms & Conditions and Privacy Policy also apply; where a conflict exists about a cloud service, this page governs.

2. Ordering and acceptance

Prices shown in the storefront are indicative until you complete checkout: an order is a request, and it becomes a contract when we confirm it and begin provisioning. Some services are supplied by upstream operators and registries under their own rules, and a small number of orders (certain domain extensions, regulated top-level domains, large GPU reservations) can be refused or require extra verification. If an order cannot be fulfilled, we cancel it and refund what was charged for that item.

3. How services are provisioned

ScodyX provisions the services in your order in dependency order — a name before its DNS, DNS before a certificate, a certificate before traffic — and verifies the result before reporting it ready. Automatic provisioning is a convenience, not a guarantee of a particular provisioning time; where an upstream operator is slow or rejects a request, the order is held and shown to you with the reason.

4. Domains and registry rules

Domain registrations are subject to ICANN policy and the rules of the relevant registry, including the Uniform Domain-Name Dispute-Resolution Policy and registrant data verification. You must give accurate registrant contact details and keep them current; a domain can be suspended by a registry if verification fails. Registrations are effective on the registry record, not on our confirmation email, and registry fees for a completed registration or renewal cannot be reversed.

5. Renewals and price changes

Renewable services show their renewal term and renewal price before purchase. Where auto-renew is on, we attempt renewal before expiry and notify you beforehand; you can turn auto-renew off at any time in your ScodyX Cloud services list. Upstream and registry costs change, so renewal prices are not fixed for life — a change is shown before it is charged, and you can decline it by turning off auto-renew or transferring the service out.

6. Your responsibilities

You are responsible for what you run on the services, for lawful use, for your own content and data, and for keeping account credentials confidential. You must not use ScodyX Cloud for unlawful activity, spam or bulk unsolicited mail, malware distribution, infringement of others' rights, attempts to interfere with other tenants, or resource abuse that degrades shared capacity.

7. Suspension and termination

We may suspend or terminate a service for material breach of these terms, non-payment, fraud or security risk, an upstream or registry instruction, or a lawful order. Where circumstances allow, we notify you first and give you an opportunity to correct the problem. Suspension for abuse or non-payment does not stop registry fees or committed upstream costs already incurred.

8. Availability and backups

We do not promise uninterrupted or error-free operation. Where a service is sold with a published availability target, that target and its remedy are stated on the service's page. Backups are provided where a service says so; you remain responsible for keeping your own copies of anything you cannot afford to lose.

9. Cancellation and refunds

You can cancel a recurring cloud service at any time; cancellation stops future renewals and the service runs to the end of the period already paid for. Our Refund Policy applies, with one difference specific to cloud services: domain registrations, renewals, transfers, issued certificates and consumed metered capacity are not refundable, because the fee is paid to a registry or upstream operator the moment the order completes. Duplicate charges, charges taken after a cancellation, and orders we could not fulfil are always refunded.

10. Transferring out

Services you buy through ScodyX Cloud are yours. Domains can be transferred to another registrar once any registry-imposed lock period has passed, and we will release the authorisation code on request from the account owner. Data you hold in a ScodyX Cloud database, storage bucket or mailbox can be exported at any time while the service is active, and for 30 days after cancellation unless a longer period is stated on the service.

11. Liability

To the fullest extent permitted by law, our aggregate liability for a cloud service is limited to the fees you paid for that service in the twelve months before the claim, and we exclude indirect, consequential and special damages including lost profits, lost revenue and lost data. Nothing here excludes liability for fraud, death or personal injury, or anything else that cannot be excluded by law.

12. Payment processing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax and invoicing mechanics are governed by Paddle's Buyer Terms.

13. Changes and contact

We may update these Service Terms; material changes are announced before they take effect and the date above always shows the current version. Questions, transfer requests and disputes go to support@ischolarx.com.
